1. Acceptance of Terms

These Terms & Conditions apply to the website divid.ai operated by DIVID AI TECH LLC (“we”, “us”, “our”), including its subdomains, and to the products described on it: DIVID Planner, the Market Insights Journal and Reporter, Planning Module, ReksadanaAi ProSales, Fund Compare API, the Engine and our Telegram assistants (together, the “Site”). By accessing or using the Site, you (“User” or “you”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree with any provision herein, you must discontinue using the Site immediately.

2. Eligibility

You represent and warrant that you are at least 18 years of age (or the legal age of majority in your jurisdiction) and are fully capable of entering into a binding legal agreement.

3. Changes to These Terms

We reserve the right to modify, add, or remove portions of these Terms at any time. Any changes become effective immediately upon posting. Your continued use of the Site following the posting of changes constitutes acceptance of those changes.

4. Description of the Service

  1. Informational Content and Decision-Support Tools: The Market Insights Journal publishes articles and market overviews drafted automatically by our proprietary tool, Reporter. Our products produce financial plans, simulated forecasts, fund comparisons and proposals from market data and the information you provide. All of them offer reviews, information and simulation results on companies, instruments and markets.
  2. No Investment Advice: All content and product outputs are provided for informational and decision-support purposes only and are not financial, investment, or legal advice. Simulated forecasts and probabilities are not predictions or guarantees, and we do not provide trading signals or personalized investment advice. Always consult a licensed financial advisor or other qualified professionals before making any financial decisions.
  3. Business Customers: Use of our products by brokerages, asset managers and other businesses is governed by a separate agreement, which prevails over these Terms where they differ.

5. Account Registration and Security

  1. Account Creation: Some features (e.g., the waitlist, saving articles, financial plans, personal settings) require registering an account. You agree to provide accurate and current information during registration.
  2. Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  3. Termination: We may suspend or terminate your account at any time if you violate these Terms or engage in activities that disrupt the Site or other users.

6. User Conduct

By using the Site, you agree not to:

  • Use the Site in any manner that violates any applicable law or regulation.
  • Distribute, modify, sell, lease, or license Site content without our prior written consent.
  • Upload or transmit harmful code or content, or attempt to gain unauthorized access to our systems.
  • Harvest or collect personal information of others without their consent.

7. Intellectual Property

  1. Ownership: All content on the Site (including text, images, graphics, trademarks, and logos) is owned by or licensed to DIVID AI TECH LLC and protected by copyright, trademark, and other intellectual property laws.
  2. Limited License: Subject to these Terms, you are granted a limited, revocable, non-transferable license to access and use the Site for personal, non-commercial purposes only.

8. No Investment Advice & Risk Disclaimer

  1. No Liability for Financial Decisions: The Site and its content are not intended as investment advice. We are not a registered broker, dealer, or financial advisor.
  2. Market Risks: Stock market, mutual fund and other securities investments involve risk, including the loss of capital. Any action you take based on Site content or product outputs is solely at your own risk. We highly recommend seeking advice from licensed financial professionals before making investment decisions.

9. Disclaimers of Warranties

  1. “As Is” Basis: The Site, our products and all content (including articles drafted by Reporter and results produced by our simulation engine) are provided “as is” and “as available.”
  2. No Warranty: To the fullest extent permitted by law, we disclaim any warranties of any kind, express or implied, including warranties of accuracy, completeness, reliability, fitness for a particular purpose, and non-infringement.
  3. No Guarantee of Availability: We do not guarantee uninterrupted or error-free operation of the Site or that we will correct all defects.

10. Limitation of Liability

  1. No Consequential Damages: To the maximum extent permitted by law, DIVID AI TECH LLC, its affiliates, directors, employees, or agents shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of (or inability to use) the Site.
  2. Cap on Liability: In any event, our total liability shall not exceed the amount you have paid, if any, to us for access to the Site during the 6 months preceding the event giving rise to liability.

11. User-Generated Content

If the Site allows posting or sharing of user-generated content, you agree:

  • You own or have the right to post such content.
  • You grant us a worldwide, non-exclusive, royalty-free license to use, copy, and display your submitted content.
  • We reserve the right to remove or modify user content at our discretion.

The Site may contain links or references to third-party websites or services. We do not endorse or control these external sites or services and are not responsible for their content or any harm arising therefrom.

13. Indemnification

You agree to indemnify and hold harmless DIVID AI TECH LLC and its officers, employees, and agents from and against any claims, damages, liabilities, losses, or expenses arising out of or related to:

  • Your use or misuse of the Site
  • Your violation of these Terms
  • Your infringement of any third-party right

14. Termination and Changes to the Service

We may modify, suspend, or discontinue any feature or part of the Site at our discretion, without prior notice or liability to you.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Armenia, without regard to its conflict of laws principles. Any disputes shall be brought exclusively in the courts located in Yerevan, Armenia, and both parties consent to such venue and personal jurisdiction.

16. Miscellaneous

  1. Entire Agreement: These Terms constitute the entire agreement between you and DIVID AI TECH LLC regarding use of the Site.
  2. Severability: If any provision is deemed unlawful or unenforceable, it will be severed from these Terms without affecting the validity of the remaining provisions.
  3. No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

17. DIVID Planner

These terms apply to DIVID Planner, also called “DIVID Savings & Investment Planner”: DIVID Workspace, our web app at workspace.divid.ai; the account pages on auth.divid.ai; and the connector and plugin for Claude, when they are available. They add to sections 1–16. Where they differ, this section applies to DIVID Planner.

  1. What it is. DIVID Planner is a self-directed planning and simulation tool. You set your goals, your limits and the types of investments it may use, and the model shows scenarios, how likely your goals look and how it would split your money. DIVID is not a financial adviser, and it doesn’t act as your fiduciary, broker or dealer. Using DIVID Planner doesn’t create an advisory, fiduciary or brokerage relationship between you and DIVID.
  2. No trading or custody. DIVID doesn’t place orders, hold money or securities, or connect to your bank or brokerage accounts. Funds named in a plan are examples of a fund that tracks that part of the plan, and individual companies appear only if you pick them.
  3. Estimates only. Results come from a simulation based on your inputs and historical market data. They are estimates, not predictions or promises, and results are not guaranteed. Market data may be delayed, incomplete or wrong; each plan shows the date of the data it used.
  4. Your decisions. You decide whether and how to act on a plan, and you are responsible for those decisions and their results. Consider talking to an independent licensed professional about your situation, including taxes.
  5. Who can use it. You must be 18 or older and legally able to accept these terms. DIVID Planner is built for US residents and amounts in US dollars. If you use it elsewhere, you do so on your own initiative and are responsible for following your local rules.
  6. Claude. You can use DIVID Planner on the web without Claude. If you use it in Claude, a service of Anthropic, Anthropic is not a party to these terms, and your use of Claude is governed by your agreement with Anthropic. DIVID is responsible for the data its tools return, not for anything else Claude writes.
  7. Acceptable use. Use DIVID Planner for your own planning. Don’t scrape it, create accounts with automated tools, resell access to it or its market data, run automated bulk requests, share your account, or try to get around usage limits or security checks. We may limit, suspend or close access that breaks these rules.
  8. Price. DIVID Planner is free during launch. If that changes, we’ll tell you in advance, and nothing will be charged without your explicit agreement.
  9. Liability and governing law. Sections 9 (Disclaimers of Warranties), 10 (Limitation of Liability), 13 (Indemnification) and 15 (Governing Law and Dispute Resolution) apply to DIVID Planner. Nothing in these terms limits any right you have under consumer protection law that cannot be waived or limited by contract.
  10. Stopping. You can stop at any time and ask us to delete your account and plans (see section 11 of our Privacy policy). If you use DIVID Planner in Claude, you can also disconnect it there or at auth.divid.ai/account/connections/. We may change or stop DIVID Planner. If we stop it, we’ll tell you in advance so you can ask for a copy of your data.
